These Terms of Service ("Terms") govern access to and use of the Ratna HealthPlex AI-powered healthcare management platform, including our Electronic Health Records (EHR), Hospital Management System (HMS), Laboratory Information System (LIMS), Pharmacy Management System (PMS), Radiology & PACS, Telemedicine, and related modules (collectively, the "Service"). Please read these Terms carefully before using the Service.
1 Acceptance of Terms
By accessing or using the Ratna HealthPlex platform, creating an account, or otherwise engaging with the Service, you ("Customer," "User," or "you") agree to be bound by these Terms and by our Privacy Policy. If you are entering into these Terms on behalf of a hospital, clinic, laboratory, pharmacy, or other organization, you represent that you have the authority to bind that organization, in which case "you" refers to that organization.
If you do not agree to these Terms, you must not access or use the Service.
2 Description of Service
Ratna HealthPlex provides a unified, AI-powered Healthcare Management Software platform designed to support hospitals, clinics, diagnostic centers, and healthcare networks. The Service includes, without limitation:
- Electronic Health Records (EMR/EHR) — clinical documentation and patient history management
- Hospital Management System (HMS/HIMS) — unified operations across departments
- Laboratory Information System (LIMS) — diagnostics workflow and reporting
- Pharmacy Management System (PMS) — inventory, dispensing, and cost optimization
- Radiology & PACS — digital imaging and picture archiving
- Telemedicine — remote consultation and adaptive video/voice capabilities
- AI Diagnostics, Predictive Analytics, and Clinical Decision Support modules
- Patient Experience Portal and mobile health applications
Ratna HealthPlex reserves the right to modify, add to, or discontinue features of the Service at its discretion, consistent with the terms of any applicable subscription agreement.
3 Eligibility and Account Registration
The Service is intended for use by licensed healthcare organizations, healthcare providers, and their authorized staff. To use the Service, you must register for an account and provide accurate, current, and complete information.
- You are responsible for maintaining the confidentiality of your account credentials.
- You are responsible for all activity that occurs under your account, including activity by staff or authorized users you provision.
- You must notify Ratna HealthPlex promptly of any unauthorized access to, or use of, your account.
- Accounts may not be shared, sold, or transferred without prior written consent.
4 Acceptable Use Policy
You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to:
- Use the Service to violate any applicable law, regulation, or third-party right, including healthcare privacy and data protection laws;
- Upload or transmit malicious code, or attempt to gain unauthorized access to the Service, other accounts, or underlying infrastructure;
- Reverse engineer, decompile, or attempt to derive the source code of the Service, except as permitted by law;
- Use the Service to store or transmit data you are not legally authorized to process;
- Interfere with or disrupt the integrity or performance of the Service or its AI/diagnostic modules;
- Use automated means to access the Service outside of provided APIs and integrations without authorization.
Ratna HealthPlex reserves the right to suspend or terminate accounts that violate this Acceptable Use Policy.
5 Subscription, Fees & Billing
Access to the Service is provided on a subscription basis as set out in an applicable order form, quote, or commercial agreement between Customer and Ratna HealthPlex.
This section will address subscription tiers, invoicing cadence, payment terms, taxes, renewal, and late-payment consequences once finalized by the commercial and legal teams.
6 Intellectual Property Rights
The Service, including its software, AI models, designs, workflows, trademarks, and documentation, is owned by Ratna HealthPlex or its licensors and is protected by intellectual property laws. Subject to your compliance with these Terms, Ratna HealthPlex grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal healthcare operations during the term of your subscription.
You retain all rights to the clinical and patient data you input into the Service ("Customer Data"), subject to the license you grant Ratna HealthPlex to process such data solely to provide, maintain, and improve the Service.
No rights are granted to you in Ratna HealthPlex's trademarks, logos, or brand assets except as expressly authorized in writing.
7 Healthcare Data & Compliance
Ratna HealthPlex is designed to support compliance with applicable healthcare data protection frameworks, including HIPAA, the HITECH Act, and applicable state privacy laws, where applicable to your deployment.
Collection, use, storage, and disclosure of personal and health information through the Service are governed by our Privacy Policy and, where applicable, our HIPAA Notice, both of which are incorporated into these Terms by reference. Where Ratna HealthPlex acts as a business associate or data processor on your behalf, the parties will execute a separate Business Associate Agreement (BAA) or Data Processing Agreement (DPA) as required by applicable law.
You are responsible for ensuring your own use of the Service, including data entered by your staff, complies with applicable healthcare regulations in your jurisdiction.
8 Service Availability & Support
Ratna HealthPlex targets a 99.99% uptime SLA for the Service, supported by redundant, cloud-agnostic infrastructure designed for uninterrupted clinical and operational continuity. Planned maintenance windows will be communicated in advance where practicable.
Support channels, response-time commitments, and escalation procedures are detailed in the applicable order form or support policy provided to Customer at the time of subscription.
9 Disclaimers and Limitation of Liability
The Service, including any AI-assisted diagnostics, predictive analytics, or clinical decision support features, is provided as a tool to support — not replace — the independent clinical judgment of qualified healthcare professionals. Ratna HealthPlex does not practice medicine and is not a substitute for professional medical advice, diagnosis, or treatment.
EXCEPT AS EXPRESSLY SET OUT IN A WRITTEN AGREEMENT BETWEEN THE PARTIES, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, RATNA HEALTHPLEX'S AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNTS PAID BY CUSTOMER TO RATNA HEALTHPLEX IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM. IN NO EVENT SHALL RATNA HEALTHPLEX BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.

10 Indemnification
You agree to indemnify, defend, and hold harmless Ratna HealthPlex and its officers, directors, employees, and agents from and against any claims, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Service in violation of these Terms; (b) your violation of applicable law, including healthcare data protection or licensing requirements; or (c) Customer Data you submit to the Service.
11 Termination
Either party may terminate the applicable subscription in accordance with the terms of the governing order form or commercial agreement. Ratna HealthPlex may suspend or terminate access to the Service immediately if you materially breach these Terms, including the Acceptable Use Policy, or if required to do so by law.
Upon termination, your right to access the Service ends, and Ratna HealthPlex will make Customer Data available for export for a reasonable period as set out in the applicable agreement, after which such data may be deleted in accordance with our data retention practices and applicable law.
12 Governing Law & Dispute Resolution
These Terms and any dispute arising out of or in connection with them will be governed by the laws of the jurisdiction to be specified above, without regard to conflict-of-law principles. The parties will attempt to resolve disputes in good faith before pursuing formal proceedings, as further detailed in the applicable commercial agreement.
13 Changes to These Terms
Ratna HealthPlex may update these Terms from time to time to reflect changes in the Service, legal requirements, or business practices. Material changes will be communicated to Customer through the Service or via the contact details on file, along with the updated "Last Updated" date at the top of this page. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
